A client accepts these Terms when they purchase a service, approve a quotation or proposal, pay an invoice or payment link, instruct KDL to begin work, or continue using a service after receiving these Terms. A project-specific written agreement takes precedence over these general Terms where there is a conflict.
All project work is based on the scope agreed between KDL and the client. Work requested outside the agreed scope may be charged separately, and KDL will communicate additional costs before undertaking substantial out-of-scope work.
Prices are quoted in South African Rand unless otherwise stated. For monthly services, payment is due per the agreed billing cycle; for once-off projects, a deposit or full payment may be required before work begins. KDL may suspend services on overdue accounts. Third-party costs (domains, premium software, plugins, advertising, stock assets, APIs) may be charged separately unless included in the quotation.
The client is responsible for providing required content (business information, text, images, logos, contact details, prices, service descriptions, legal documents, account access) and for ensuring supplied information is accurate and that the client has permission to use it. Delays in providing content or approvals may affect the project timeline.
Timelines depend on receipt of required content, feedback, approvals, third-party services, and technical complexity. Delays caused by the client, a third party, or circumstances outside KDL's reasonable control do not automatically constitute a breach.
Once a client approves a design, page, feature or milestone, later changes requiring substantial redevelopment may be treated as additional work. Minor corrections that don't match the agreed scope are addressed where reasonably possible.
Unless otherwise agreed in writing, the client owns the final website content and deliverables created specifically for them once all amounts due to KDL are paid. Third-party software, libraries, fonts and plugins remain subject to their own licences. KDL retains ownership of its pre-existing tools, reusable code, frameworks and templates not created exclusively for the client, and may reuse general techniques and non-confidential knowledge on other projects.
Where KDL manages a domain or hosting on a client's behalf, the relevant registrar's and host's terms also apply. KDL does not guarantee uninterrupted hosting availability, as this depends on third-party providers, but will take reasonable steps to assist with hosting issues.
SEO services aim to improve a website's technical health, visibility and search performance. KDL does not guarantee a specific Google ranking, visitor count, lead volume, revenue amount, or timeframe — results are affected by factors outside KDL's control including algorithm changes and competition.
Where KDL provides Google Business Profile, Maps, analytics or similar services, the relevant third party's policies also apply. KDL cannot guarantee approval, verification, ranking or continued availability of a third-party platform. Clients remain responsible for the accuracy of their business information.
Branding and design services are supplied per the agreed scope, which will state the number of concepts and revisions included. Additional work may be charged separately. Clients are responsible for ensuring supplied names, slogans and images don't infringe third-party rights; KDL does not provide trademark clearance unless specifically agreed.
Some services rely on third-party platforms (Google, Meta, WhatsApp, payment providers, registrars, hosts, analytics and email providers, APIs). KDL is not responsible for outages, policy or pricing changes imposed by third parties. Where a third-party account belongs to the client, the client remains responsible for complying with that provider's terms.
The client agrees to provide accurate information and required content/access, respond to approval requests, pay on time, maintain permission to use supplied content, avoid unlawful use of KDL services, and notify KDL of information changes.
KDL may refuse or suspend work involving unlawful content or activity — including fraud, malware, phishing, illegal goods/services, copyright infringement, impersonation, or abuse of third-party systems — and may terminate the affected service where appropriate.
KDL takes reasonable technical measures to protect systems and client information, though no internet-connected system can be guaranteed fully secure. Clients are responsible for protecting their own credentials and should notify KDL promptly of any suspected compromise.
KDL processes personal information per its Privacy Policy and POPIA (Act 4 of 2013). Where KDL processes personal information on a client's behalf, the client remains responsible for ensuring it may lawfully be processed.
A client may cancel a monthly service with written notice; cancellation generally takes effect at the end of the current paid billing period and does not remove amounts already due.
KDL may suspend or terminate services for overdue payment, material breach, unlawful use, security risk, or unreasonable legal/operational exposure — with notice and an opportunity to resolve the issue where reasonably possible.
KDL may maintain backups as part of certain services, but clients should keep their own copies of important content. KDL does not guarantee a specific retention period or that every file can be restored.
KDL uses reasonable efforts to provide reliable services but does not guarantee uninterrupted availability of websites, hosting, email or integrations, given possible maintenance, technical failures and third-party outages.
To the extent permitted by South African law, KDL is not liable for indirect, consequential, incidental or special losses (including loss of profits, business interruption, data or opportunity), without excluding any right that cannot lawfully be excluded.
KDL is not responsible for delays or failures caused by events outside its reasonable control, including internet or hosting outages, registrar problems, third-party platform changes, cyber incidents, natural disasters, power failures or government action.

These Terms are governed by the laws of the Republic of South Africa.
KDL may update these Terms from time to time; the latest version is published on the KDL website with the applicable update date.
If any provision is found unlawful or unenforceable, it will be modified to the minimum extent necessary and the rest will continue to apply. These Terms, together with any quotation, proposal, invoice or service agreement, form the entire agreement between KDL and the client.

Once work has started, payments may become non-refundable to the extent already allocated to work performed, development time, third-party services, domain registration or hosting. If cancelled before substantial work begins, KDL may assess whether a partial refund is appropriate after deducting reasonable costs incurred. Any consumer law right to cancel or receive a refund applies.
A deposit reserves development time and is not automatically refundable once work has commenced. If KDL is responsible for terminating a project before delivering the agreed work, KDL will assess amounts paid, work completed and costs incurred to determine any refund required.
Once a monthly billing period has commenced, the fee generally covers that period's service and allocated work. Cancellation does not automatically create a refund for the current billing period, subject to any applicable law.
Once a domain is registered or a non-refundable third-party service is purchased on the client's behalf, that amount may not be refundable where the third-party provider doesn't refund it. KDL will explain such costs before purchase where reasonably possible.
SEO fees are not refundable merely because a specific ranking, traffic level or lead volume wasn't achieved, as performance is affected by factors outside KDL's control. This doesn't affect non-excludable consumer rights.
Once design work has commenced, fees may be non-refundable to the extent work has been completed. If a client cancels after concepts or drafts are produced, KDL may retain an appropriate portion for work and costs already incurred.
If a client cancels after work begins, KDL calculates the amount payable based on work completed, development time, approved milestones, third-party and domain/hosting costs, and other reasonable expenses. Any refundable remainder is processed after review.
If KDL cancels a project without the client being in breach, KDL assesses work completed and amounts paid, then completes the work, offers a reasonable alternative, or refunds amounts paid for services not provided.
If delivered work materially fails to match the agreed scope, notify KDL as soon as possible. KDL first gets a reasonable opportunity to correct or complete the work; where correction isn't possible, the parties may agree an appropriate remedy, which may include a partial refund.
Contact KDL as soon as possible about a duplicate payment; after verification, KDL will arrange an appropriate refund of the verified amount.
KDL may account for genuinely incurred transaction fees when processing a refund where legally permissible; no deduction is made where the law requires the full amount returned.
Submit refund requests in writing to support.kalibredigitallabs@gmail.com, including your name/business, invoice reference, payment date, amount, service purchased, and reason. KDL may request further verification information.
Approved refunds are generally processed via the original payment method where practical. Processing time depends on the payment provider or bank and is outside KDL's control.
Nothing here removes, restricts or waives any consumer right that cannot lawfully be excluded under South African law, including under the Consumer Protection Act or the Electronic Communications and Transactions Act.
KDL provides digital services, not guaranteed business outcomes. A refund is not automatic because traffic, rankings or leads are lower than expected, or a business result or strategy changed. KDL will still investigate legitimate service-quality complaints fairly.
